Wingtech acquisition of Anshi Semiconductor was approved by Taiwan's Ministry of Economic Affairs

Wentai Technology announced the announcement of the progress of major asset restructuring. Nexperia BV received a letter from the Ministry of Economic Affairs of Taiwan on August 28 (the number of the trial number 10820711640). The transaction has been approved by the Ministry of Economic Affairs of Taiwan. At the same time, the Ministry of Economic Affairs of Taiwan requires Nexperia BV and Anshi Taiwan to comply with: 1. No R&D activities or technological development; 2. No talents.

 
At this point, Wentai Technology's acquisition of Anshi Semiconductor has completely ruled out the audit risks of different countries and regions.
 
According to the previously disclosed restructuring plan, Wingtech intends to purchase a total of 26.854 billion yuan to purchase part of GP and LP of Anshi Group by way of issuing shares and paying cash, and ultimately indirectly holding the controlling stake in Anshi Group. After the acquisition, Wingtech will extend from ODM to the upstream semiconductor device field.
 
On April 25, Wingtech Technology received the notice from the CSRC on the approval of Wentai Technology Co., Ltd. for the issuance of shares to purchase assets.
 
On June 5, 2019, the China Securities Regulatory Commission listed company mergers and acquisitions review committee reviewed the issue of Wentai Technology Co., Ltd.'s issuance of shares and payment of cash to purchase assets and raise matching funds and related transactions. According to the results of the meeting, the major asset restructuring was conditionally approved, and the entire asset delivery is now progressing in an orderly manner.
